Affiliate Programme Terms

These Affiliate Programme Terms (the “Affiliate Terms”) govern the Reachmcp affiliate programme (the “Programme”), operated by QUARDLY, a simplified joint-stock company registered with the Paris Trade and Companies Registry under number 949 015 416 (“Reachmcp”). They apply in addition to the Terms of Service. By joining the Programme from your Reachmcp account, you (the “Affiliate”) accept these Affiliate Terms without reservation.
Article 1 – Joining the Programme
Any holder of a Reachmcp account may join the Programme from the Affiliate page of the application. Joining gives the Affiliate a personal referral code and link. Reachmcp may refuse or revoke participation at its discretion, in particular in the cases set out in Article 6.
Article 2 – Referrals
2.1 How a referral is recorded
A person is a “Referred Customer” when they create a new Reachmcp account within 60 days of visiting any reachmcp.com page through the Affiliate's link (a URL carrying ?ref=followed by the Affiliate's code). If the person visited through several affiliate links, the last one used before account creation prevails. The referral is fixed when the account is created and is never reassigned afterwards.
2.2 What is not a referral
- An account that already existed before the visit through the Affiliate's link.
- An account created by the Affiliate themselves, or by a person acting on their behalf (self-referral).
- An account created after the Affiliate's participation was paused or terminated.
- An account whose referral could not be recorded for technical reasons, including cookies being blocked or deleted by the visitor.
Article 3 – Commissions
3.1 Rate and duration
The Affiliate earns a commission of 30% of each amount actually paid by a Referred Customer to Reachmcp for a subscription, excluding VAT and other taxes, on invoices paid during the 12 months following that Referred Customer's first paid invoice. A different rate or duration agreed in writing with a given Affiliate replaces these figures for that Affiliate.
3.2 Exclusions
No commission is due on free or zero-amount invoices, on purchases made through third-party marketplaces (including AppSumo lifetime deals), or on amounts that are not collected.
3.3 Refunds and chargebacks
If an invoice is refunded or disputed, the corresponding commission is reduced in proportion to the amount refunded, or cancelled if the refund is total. Where the commission has already been paid out, Reachmcp may deduct it from future commissions or ask the Affiliate to repay it.
Article 4 – Payment
4.1 When a commission becomes payable
A commission becomes payable 30 days after the payment of the invoice it was earned on, once a refund is no longer likely. Until then it is shown as pending in the Affiliate page.
4.2 How payouts are made
Payable commissions are paid manually, by bank transfer or PayPal, in the currency of the underlying invoices, generally once a month. Payment requires the Affiliate to have entered valid payout details in the Affiliate page; commissions remain payable until they are. Transfer fees charged by the Affiliate's bank or payment provider are borne by the Affiliate.
4.3 Taxes and invoices
The Affiliate is solely responsible for declaring their commissions and paying any tax or social contribution due on them. An Affiliate acting as a business may be asked to issue an invoice for the amount before it is paid.
Article 5 – Promotion rules
The Affiliate promotes Reachmcp honestly and in compliance with applicable law. In particular, the Affiliate agrees not to:
- Make false or misleading claims about Reachmcp, its features, its prices or its results.
- Present themselves as Reachmcp, or suggest that Reachmcp is affiliated with, endorsed or sponsored by LinkedIn, Anthropic, OpenAI or any other third party.
- Send unsolicited messages (spam), by email, LinkedIn or any other channel, in breach of applicable law.
- Bid on “Reachmcp”, “Reach MCP” or close variations as keywords in paid search advertising, or use them in domain names or social media account names.
- Force or fake referrals, including by setting referral cookies without a deliberate click (“cookie stuffing”), using bots, or offering incentives to sign up that Reachmcp has not approved.
The Affiliate discloses their affiliate relationship with Reachmcp wherever the law or the platform they publish on requires it.
Article 6 – Pause and termination
6.1 By Reachmcp
Reachmcp may pause or terminate any Affiliate's participation at any time, with or without notice. While participation is paused, invoices paid by Referred Customers earn no commission and new accounts created through the Affiliate's link are not recorded as referrals. Commissions earned before the pause remain payable under Article 4.
In case of breach of these Affiliate Terms, fraud or attempted fraud, Reachmcp may in addition cancel all commissions not yet paid and claim repayment of commissions obtained through the breach.
6.2 By the Affiliate
The Affiliate may leave the Programme at any time by writing to [email protected]. Commissions already payable are paid; no commission is earned on invoices paid after departure.
Article 7 – Changes to the Programme
Reachmcp may change these Affiliate Terms or end the Programme. Changes are published on this page and apply to commissions earned on invoices paid at least 30 days after publication. Commissions earned before remain governed by the version in force when they were earned.
Article 8 – Relationship between the parties
The Affiliate and Reachmcp are independent contractors. Nothing in these Affiliate Terms creates an employment relationship, partnership, agency or exclusivity. The Affiliate may not commit Reachmcp in any way. The Programme is non-exclusive and Reachmcp may run other affiliate or partner programmes.
Article 9 – Personal data
The Affiliate page shows the Affiliate the date and status of each referral and the commissions earned, but never the name or contact details of a Referred Customer. Reachmcp processes the Affiliate's payout details solely to pay commissions, as described in the Privacy Policy.
Article 10 – Liability
Reachmcp does not guarantee any level of referrals or income. Reachmcp is not liable for referrals that could not be recorded, nor for any interruption of the Platform or the Programme. Reachmcp's total liability towards an Affiliate under the Programme is limited to the commissions due and not yet paid to that Affiliate.
Article 11 – Governing law and disputes
These Affiliate Terms are governed by French law. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de commerce de Paris).
